Legal Agreement: Terms of Service

PLEASE READ THIS MEMBERSHIP AGREEMENT CAREFULLY.  BY ACCEPTING THE TERMS OF THIS AGREEMENT BY CLICKING THE “I AGREE” BOX BELOW, YOU ARE ENTERING INTO A LEGALLY-BINDING CONTRACT WITH STAUNTON INNOVATION HUB, LLC, A VIRGINIA LIMITED LIABILITY COMPANY (“SIH”). THIS AGREEMENT INCORPORATES THE TERMS OF THE STAUNTON INNOVATION HUB HANDBOOK (click to open) WHICH CONTAINS IMPORTANT TERMS AND CONDITIONS REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS. YOU ARE ENCOURAGED TO CAREFULLY READ THIS AGREEMENT AND THE HANDBOOK BEFORE ACCEPTING THE TERMS OF THIS AGREEMENT. 

STAUNTON INNOVATION HUB

Membership Agreement 

This Membership Agreement (this “Agreement”) is an agreement between SIH (referred to herein as “we” in its various grammatical forms) and the individual, company, organization or other entity (referred to herein, as “you” in its various grammatical forms), who or which is applying for a membership in the Hub using the Hub’s online membership application process (the “Application”). This Agreement governs your use of an office, dedicated desk, or co-working space at The Staunton Innovation Hub which is located at 32 N. Augusta Street and 11 North Central, Staunton VA 24401 (the “Hub”). This Agreement grants certain licenses and rights to you. It does not constitute or create a lease or a sublease and you are not and will not be our tenant or subtenant. 

  1. Membership.  When completing the Application, you selected a membership level. Subject to our acceptance of your membership at such level, your membership shall be at the level you selected in the Application. You may upgrade your membership as described in the Handbook subject to our acceptance of such upgraded membership. We reserve the right to grant or deny your membership application in our sole discretion. If accepted, your membership will run on a month-to-month basis until terminated. This Agreement will terminate upon the termination of your membership in the Hub. You will have certain obligations that continue beyond the termination of your membership as described in the Handbook.
  2. Handbook.  The Hub Handbook (the “Handbook”) includes the rules and regulations that apply to all Hub Members (and their employees and agents) and contains important legal terms, include releases of liability and indemnification obligations. The terms of the Handbook constitute part of and are incorporated into this Agreement. We encourage you to carefully read the Handbook prior to submitting your Application. We may update the Handbook from time to time. Each time this Handbook is updated, notice of such update will be provided to you at the portal for the Proximity co-working management platform which is described in the Handbook. If you disagree with any of the terms of an updated Handbook, your sole remedy shall be to terminate your membership. Any such termination shall be without penalty and must occur within three (3) days after we provide notice at the Proximity portal that the Handbook has been updated. If you terminate your membership for this reason, we will provide a pro-rated refund of the membership fees paid by you for the month during which termination occurs. Your failure to terminate your membership within such three (3) day period shall constitute your acceptance of and agreement to the terms of the applicable updated Handbook and, on and after the date on which such updated Handbook is posted at the Proximity portal, such updated Handbook shall apply to your membership.      

3.Membership Fees. You agree to pay the membership fees set forth in the Application, which we may increase from time to time as described in the Handbook. All payments shall be made at such times and in such manner as described in the Handbook.

  1. Corporate Members.  If you are a company, entity or organization, as identified in the Application (a “Corporate Member”), the individual who is completing the Application represents and warrants that he/she has full authority to enter into this Agreement on behalf of such Corporate Member. As set forth in the Handbook: (a) each of your employees and contractors who use the Hub shall be required to complete a separate membership application form; and (b) you shall be responsible for any violations of the terms of the Handbook by any of your employees or contractors who use the Hub.
